Abstract

The purpose of the research is to explore the vague problems about the decision-making process and all the sectoral regulations regarding to Independent Commissioners in Indonesia towards the implementation of Good Corporate Governance. The method used by author would be qualitative research method which findings will be based on interviews and cases occured. The findings of this research are that it does not only lie in the volatility of sectoral regulation, but also the integrity and competence that the Independent Commissioner should have in order to enforce the company to comply with the law and regulations. Therefore, a careful selection of Independent Commissioner should be taken into first consideration. Plus, all of these findings contemplate the issue in the cultural aspect and most probable cause is Indonesia is in the transitional phase.
